Welcome to endex.ai and any related websites operated by Edvise Inc., d/b/a Endex (“Endex,” “we,” “us,” or “our”). These Website Terms of Use (“Terms”) govern your access to and use of our website, including any content, materials, and functionality made available through it (the “Site”).

By accessing or using the Site, you agree to be bound by these Terms. If you submit any form, demo request, or other information through the Site, you also acknowledge and agree that your submission constitutes your electronic acceptance of these Terms. If you do not agree, do not access or use the Site. You represent that you are at least 18 years of age and have the legal capacity and authority to enter into these Terms.

1. Scope; Relationship to Product Agreements

These Terms apply solely to your access to and use of the Site. The Site does not include, and these Terms do not govern: (a) the Endex platform accessible at app.endex.ai; (b) any Endex add-in, plugin, or extension for Microsoft Excel or other third-party applications; or (c) any other Endex product or service (collectively, the “Offerings”). If you or your organization purchases, licenses, or uses any Offerings, those Offerings are governed exclusively by separate written agreements between Endex and your organization (each, a “Product Agreement”), not these Terms.

In the event of any conflict between these Terms and a Product Agreement, the Product Agreement will control with respect to the applicable Offerings. Nothing in these Terms modifies, supplements, or supersedes any Product Agreement. For the avoidance of doubt, these Terms do not create any right to access or use the Offerings, and acceptance of these Terms does not constitute acceptance of, or agreement to, the terms governing any Offerings.

2. Permitted Use

You may use the Site only for lawful purposes and in accordance with these Terms. You may view, download, and print reasonable portions of the Site solely for your internal, informational, and non-commercial use, provided that you do not remove any copyright, trademark, or other proprietary notices.

3. Prohibited Conduct

You may not, and may not permit any third party to:

  • use the Site in any way that violates any applicable law or regulation;
  • copy, reproduce, republish, distribute, modify, or create derivative works of the Site or its content, except as expressly permitted by these Terms;
  • reverse engineer, decompile, disassemble, or attempt to discover any source code or underlying ideas, algorithms, or data structures embodied in or used to provide the Site;
  • interfere with or disrupt the operation, security, or integrity of the Site or any related systems or networks;
  • use any robot, scraper, crawler, spider, data-mining tool, or other automated means to access, monitor, index, cache, copy, or collect content or information from the Site;
  • use any content made available on or through the Site, including text, images, metadata, or other materials, whether accessed manually or by automated means, to train, fine-tune, test, benchmark, or otherwise develop or improve any machine learning, artificial intelligence, large language model, or similar models or systems, whether commercial or non-commercial, or to develop, train, or test technologies designed or intended for the identification of natural persons;
  • attempt to gain unauthorized access to any portion of the Site or any related systems, servers, or networks;
  • upload, transmit, or introduce any viruses, malware, Trojan horses, or other harmful or disruptive code;
  • use the Site to misrepresent your identity or affiliation with Endex or any other person or entity; or
  • encourage or assist any third party in doing any of the foregoing.

4. Intellectual Property

The Site, including its design, text, graphics, logos, software, and all other content, is owned by or licensed to Endex and is protected by copyright, trademark, and other intellectual property and proprietary rights under U.S. and international laws. Except for the limited rights expressly granted in these Terms, Endex reserves all rights in and to the Site and its content.

“Endex” and related names, logos, product names, and slogans are trademarks or service marks of Endex or its licensors. You may not use any Endex trademarks without prior written permission from Endex.

5. Feedback

If you choose to provide comments, suggestions, ideas, or other feedback regarding the Site or Endex’s products and services (“Feedback”), you agree that such Feedback is provided on a non-confidential basis, is gratuitous and unsolicited, and does not place Endex under any fiduciary or other obligation. Endex may use, reproduce, modify, and distribute such Feedback without restriction, obligation, or compensation to you. You further acknowledge that, by acceptance of any Feedback, Endex does not waive any rights to use similar or related ideas previously known to Endex, developed by its employees, or obtained from sources other than you.

6. Privacy

Your use of the Site is also subject to our Privacy Policy, available at https://endex.ai/privacy-policy, which describes how we collect, use, share, and protect information in connection with the Site. By using the Site, you acknowledge the collection and use of information as described in the Privacy Policy. Where applicable law requires consent for certain data processing activities, we will obtain such consent through appropriate mechanisms.

Content on the Site, including any descriptions of Endex’s products, services, or technology, does not constitute financial, investment, legal, tax, accounting, or other professional advice, and should not be relied upon as a substitute for advice from qualified professionals.

Your access to or use of the Site does not create any client, advisory, fiduciary, or professional relationship between you and Endex. No information on the Site constitutes an offer or solicitation to buy or sell any products or services.

10. Electronic Communications

By using the Site or providing your contact information through the Site (for example, through a contact form or demo request), you consent to receive electronic communications from Endex. You agree that any notices, agreements, or other communications that Endex sends to you electronically satisfy any legal requirement that such communications be in writing.

11. User Submissions

If you submit information through the Site (for example, via a contact form, demo request, or other inquiry), you represent and warrant that you have the right to submit such information and that it does not violate any applicable law or the rights of any third party. You acknowledge that any information you submit through the Site is provided on a non-confidential basis, and Endex has no obligation to treat such submissions as confidential.

By submitting information through the Site, you grant Endex a non-exclusive, royalty-free, worldwide right to use, reproduce, and process such information for the purpose of responding to your inquiry, operating and improving the Site, and for Endex’s related internal business purposes, including security and compliance. Personal information included in such submissions will be processed in accordance with our Privacy Policy.

12. Disclaimers

THE SITE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENDEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

ENDEX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT ON THE SITE IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE. YOUR USE OF THE SITE IS AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENDEX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ENDEX AND ITS AFFILIATES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT SUCH EXCLUSION OR LIMITATION IS NOT PERMITTED BY APPLICABLE LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless Endex and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your misuse of the Site, or your violation of any applicable law or the rights of any third party.

15. Site Modifications and Availability

Endex reserves the right to modify, suspend, or discontinue the Site (or any part thereof) at any time, with or without notice, and without liability to you. Endex may also impose limits on certain features or restrict your access to parts or all of the Site without notice or liability.

16. Changes to These Terms

We may update these Terms from time to time. If we make changes, we will post the updated version on the Site and update the “Last Modified” date above. Your continued use of the Site after updated Terms become effective constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of New York, without regard to its conflict of laws principles, and without regard to the United Nations Convention on the Sale of Goods. Any legal action or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in New York, New York, and you irrevocably consent to the personal jurisdiction and venue of those courts.

18. Export Controls

The Site may contain technical data or information subject to U.S. export control laws and regulations. You agree to comply with all applicable export control laws and not to access or use the Site from any country or territory subject to U.S. sanctions or embargoes.

19. General

These Terms constitute the entire agreement between you and Endex regarding your use of the Site and supersede all prior understandings regarding the same. These Terms do not govern and are not intended to govern your use of any Offerings, which are subject to a separate Product Agreement. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. Endex’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. You may not assign or transfer these Terms or any rights hereunder without Endex’s prior written consent. Endex may assign these Terms without restriction. All provisions of these Terms that by their nature should survive termination will survive, including the Prohibited Conduct, Intellectual Property, Feedback, User Submissions, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, Export Controls, and General sections.
