These Endex Compute Unit Service Credit Terms (“ECU Terms”) are an agreement between you and Edvise Inc. d/b/a Endex (“Endex”) and govern your purchase, receipt, or use of any Endex Compute Units (“ECUs”). Capitalized terms used but not defined in these ECU Terms will have the meanings set forth in the agreement between you and Endex governing your use of the applicable Offerings (the “Agreement”).

1. Endex Compute Units (ECUs) are the standardized unit used to measure the AI-powered work performed by the Offerings across the platform’s features and workflows. Your Order Form will specify the ECU capacity included with your Platform License (your “Baseline Allocation”) and the pricing for any additional ECU capacity blocks (each, an “Expansion Block”). Additional terms may apply to specific Offerings.

2. Expansion Blocks may be purchased at any time during the Subscription Term, at the prices specified in the applicable Order Form.

3. Endex may from time to time provide ECUs free of charge (“Promotional ECUs”). Promotional ECUs will not be applied against any sales, use, gross receipts, or similar transaction-based taxes that may be applicable to you.

4. ECUs are not legal tender or currency; are not redeemable, refundable, or exchangeable for any sum of money or monetary value (except where required by law); have no equivalent value in fiat currency; do not act as a substitute for fiat currency; and do not constitute or confer upon you any personal property right. ECUs are non-transferable and may be used only in connection with the Offerings.

5. All purchases of ECUs, including prepaid Expansion Blocks, are final. ECUs are not refundable except where required by law. Unless otherwise specified in the applicable Order Form, unused ECUs expire at the end of each Contract Year (i.e., each consecutive twelve (12) month period during the Subscription Term, beginning on the date specified in the applicable Order Form) in which they were allocated or purchased.

6. Your available ECU balance may be reviewed through the reporting mechanisms made available by Endex from time to time. Endex’s records of ECU consumption shall be controlling absent manifest error. You are solely responsible for managing your ECU usage and verifying that the proper amount of ECUs has been added to or deducted from your balance. Your ECU balance is not a bank account, digital wallet, stored-value account, or other payment device.

7. In the event that your available ECU balance is exhausted, continued usage will be billed in arrears at the rates specified in the applicable Order Form.

8. Endex may introduce new or enhanced capabilities within the Offerings from time to time. Such capabilities may consume ECUs at varying rates. Your existing ECU allocation may be used to access these capabilities as they become generally available. Any changes to ECU consumption rates will apply prospectively only and will not be applied retroactively to usage already incurred.

9. We reserve the right to suspend or terminate your use of the Offerings in accordance with the Agreement, including suspending or terminating your ECU balance, in compliance with applicable law.

10. We may modify these ECU Terms at any time by posting a revised version on our website or by emailing the email associated with your account. The modified ECU Terms will become effective upon posting or, if we notify you by email, as stated in the email message. By receiving or using any ECUs after the effective date of any modification to these ECU Terms, you agree to be bound by the modified ECU Terms.
